Public offer agreement

1. General Provisions

1.1. This Agreement is an official proposal (offer) of Sole Proprietor Boberec I.Yu. (hereinafter referred to as the “Contractor”) to conclude an agreement for the provision of informational and consulting services to individuals (hereinafter referred to as the “Customer”) who have accepted this offer.

1.2. Acceptance of this offer is the Customer’s payment for the Contractor’s services. From the moment of payment, the Agreement is considered concluded.

1.3. This Agreement is a public contract and an adhesion contract. According to Articles 633, 634, 641, 642, and 644 of the Civil Code of Ukraine, its terms are the same for all persons.

1.4. The conclusion and execution of this Agreement are carried out in accordance with the legislation of Ukraine, including the Law of Ukraine “On the Protection of Personal Data,” and, where applicable, the requirements of the General Data Protection Regulation (GDPR).

1.5. The fact of publishing information on the Contractor’s website, including course descriptions, prices, etc., does not constitute a public offer unless expressly stated otherwise.

2. Definitions

2.1. Offer — this public adhesion Agreement for the provision of informational, consulting services and services related to the organization and ensuring the Customer’s access to the Course.

2.2. Website: abramitova.com

2.3. Acceptance of the Offer — full and unconditional acceptance by the Customer of the Offer by performing the actions provided for in this Agreement.

2.4. Contractor — Sole Proprietor Boberec I.Yu.

2.5. Customer — any capable individual who has accepted the Offer under the stated conditions and, through their actions, has expressed the intention to join this Agreement.

2.6. Agreement — this public contract between the Customer and the Contractor for the provision of services, concluded by the Customer’s acceptance of this Offer. It is an adhesion contract that can only be concluded by full acceptance of its terms.

2.7. Course — a training program for individuals, teachers, the characteristics and cost of which are defined in the relevant Course Proposal.

2.8. Course Proposal — information posted on the Website regarding the characteristics of the training program, including its duration, dates, format, access features, place of delivery, rules of participation, cost, and other details.

2.9. Course Application — an electronic registration form for ordering a Course, to be completed by the Customer on the Website in order to provide the Contractor with the information necessary for fulfilling obligations under this Agreement and confirming its conclusion.

3. Subject of the Agreement

3.1. Under this Agreement, the Contractor undertakes to provide services for organizing and granting the Customer access to the selected Course, and the Customer undertakes to pay for the Contractor’s services in the amount and under the conditions specified herein and comply with the terms and procedures for their receipt.

3.2. The scope and characteristics of the services under this Agreement are determined by the Course selected by the Customer in accordance with the relevant Course Proposal and fully paid for by the Customer.

3.3. Without further signing of written copies by the Parties, this Agreement is deemed concluded from the moment the Contractor receives full payment from the Customer, the date of funds being credited to the Contractor’s bank account, subject to the Customer correctly completing the Course Application.

3.4. The services under this Agreement are not educational services within the meaning of the Law of Ukraine “On Education.”

3.5. Each Party guarantees to the other Party that it possesses the necessary legal capacity, rights, and authority required for the conclusion and execution of this Agreement.

4. Force Majeure

4.1. The Parties are released from liability for failure to fulfill their obligations in the event of force majeure circumstances, confirmed by official documents of the Chamber of Commerce and Industry of Ukraine or another authorized body.

5. Other Provisions

5.1. The Course and its materials are the intellectual property of the Contractor. Any copying, distribution, or transfer to third parties is prohibited.

5.2. The Contractor has the right to remove the Customer from group training events in case of violation of behavior rules without refund. Such violations include: initiating conflicts in groups, insulting other participants, attempts to copy or distribute Course materials, or attempts at fraudulent actions.

5.3. In accordance with Article 13 of the Law of Ukraine “On Consumer Protection,” the consumer has the right to withdraw from the contract within 14 days. However, by agreeing to this Agreement and making payment, the Customer gives explicit consent to the commencement of the supply of digital content before the expiration of this period and therefore loses the right to withdraw.

5.4. Notwithstanding the above, the Contractor grants the Customer the opportunity to request a refund at their own discretion within 4 calendar days after the start of the Course. For this, the Customer must send a written request to the Contractor’s email address. After this period, refunds are not provided since the Course is electronic, intangible content that, under Resolution of the Cabinet of Ministers of Ukraine No. 172, is non-refundable.

5.5. The Customer has the right to withdraw their consent to the processing of personal data by sending a request to the Contractor’s email address indicated on the Website. Upon withdrawal of consent, access to services may be terminated.

5.6. To provide services, the Contractor may use third-party services, including but not limited to: Tilda, SendPulse, Kwiga, Telegram bots, payment systems, for example WayForPay, CRM systems, and analytics tools such as Google Analytics and Meta Pixel.

5.7. Information posted on the Website is for informational purposes only and does not constitute a public offer under Article 641 of the Civil Code of Ukraine, unless expressly stated otherwise.

5.8. This Agreement is concluded in accordance with the legislation of Ukraine, including the Civil Code of Ukraine, the Law of Ukraine “On Electronic Commerce,” the Law of Ukraine “On Consumer Protection,” and the Law of Ukraine “On the Protection of Personal Data.” Where the processing of personal data concerns EU citizens, the provisions of the General Data Protection Regulation, GDPR, shall apply.

6. Use of Customer Materials

6.1. The Customer grants the Contractor the right to freely use any materials provided during the Course, including but not limited to: photos, videos, texts, voice messages, feedback, completed homework, screenshots, social media posts, comments in chats, for marketing, advertising, educational, or informational purposes.

6.2. Such use may include the publication or display of these materials on websites, social networks, advertisements, presentations, commercial offers, and during the Contractor’s online or offline events.

6.3. The Customer agrees that such use does not require additional approval or separate remuneration and does not infringe their rights, including rights to personal data protection and intellectual property.

6.4. If the Customer wishes to prohibit the use of specific content, they must notify the Contractor in writing via the email specified in this Agreement.

6.5. The Customer has the right to:

  • receive information on the processing of their personal data;
  • submit requests for correction, deletion, or restriction of processing;
  • withdraw consent for the processing of personal data at any time by sending a written notice to the Contractor;
  • file complaints regarding data processing with authorized authorities in accordance with Ukrainian legislation.

6.6. The Contractor has the right to transfer the Customer’s personal data to third parties, including partners or contractors, or as required by law, solely to ensure the execution of this Agreement and the provision of services.

6.7. The Customer’s personal data shall be stored for the period necessary to achieve the purposes of processing, or until consent is withdrawn, unless otherwise required by Ukrainian law.

6.8. The Customer may exercise their rights under this Agreement and applicable law by sending an email request to the Contractor’s contact address specified in the details.
